Welcome to Innowave Systems. These Terms & Conditions ("Terms") govern your access to and use of our software platforms, applications, and related services ("Services"). By subscribing to or using our Services, you agree to be bound by these Terms.

1. About Us

Innowave Systems Ltd is a UK-based software company providing digital tools and job management systems for trade and service businesses.

2. Our Services

We provide software solutions designed to help businesses manage operations such as job scheduling, customer information, reporting, and communication.

Some Services are provided as self-service platforms, while others may require manual setup, configuration, or provisioning based on your business requirements. Availability of specific features may vary depending on your chosen plan or agreed scope.

We may integrate with third-party services including (but not limited to) Stripe (payments), SendGrid or Brevo (email), Twilio (SMS), Microsoft Azure (hosting), and address lookup providers. These services are subject to their own terms and availability.

3. Subscriptions, Billing & Payments

Subscription fees are billed in advance on a monthly basis unless otherwise agreed in writing.

All payments are processed securely via Stripe. Innowave Systems does not store or process card details directly.

Where Services require manual setup or onboarding, subscription billing may begin only once the Service is made available to you, unless otherwise agreed.

Prices, plans, and features may change from time to time. Any changes will not affect your current billing period and will be communicated in advance where applicable.

4. Cancellation & Termination

You may request cancellation of your subscription at any time. Unless stated otherwise, access to the Service will continue until the end of your current billing period.

We reserve the right to suspend or terminate access to the Services if:

  • Payment is not received
  • The Service is misused
  • These Terms are breached
  • Continued use poses a risk to the platform or other customers

On termination, access to your account and data may be restricted or removed in accordance with applicable laws.

5. Your Responsibilities

You agree to:

  • Provide accurate and up-to-date information
  • Keep your login credentials secure
  • Use the Services lawfully and responsibly
  • Ensure you have the necessary rights to any data you input into the system

You are responsible for all activity carried out under your account.

6. Data & Privacy

We store only the data required to provide the Services. Payment information is handled entirely by Stripe.

Our handling of personal data is explained in our Privacy Policy, which forms part of these Terms.

You remain the owner of your business data. We do not sell customer data to third parties.

7. Service Availability

We aim to provide a reliable and secure service. However, we do not guarantee uninterrupted or error-free operation.

Downtime may occur due to maintenance, updates, or issues with third-party providers. Innowave Systems is not liable for service interruptions beyond our reasonable control.

8. Intellectual Property

All software, branding, designs, and content provided as part of the Services remain the intellectual property of Innowave Systems or its licensors.

You are granted a limited, non-exclusive right to use the Services while your subscription remains active.

9. Limitation of Liability

To the fullest extent permitted by law, Innowave Systems shall not be liable for any indirect, incidental, or consequential losses, including loss of profits, data, or business interruption.

Our total liability in connection with the Services shall not exceed the fees paid by you in the preceding 12 months.

10. Changes to These Terms

We may update these Terms from time to time. Any material changes will be communicated via our website or email.

Continued use of the Services after changes are published constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
